Terms of Service

Effective: January 1, 2026

1. Acceptance of Terms

By accessing or using MediFlow's platform, website, and services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not use the Services.

These Terms constitute a legally binding agreement between you and MediFlow Health Technologies, Inc.("MediFlow," "we," "us," or "our").

2. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent. If you are using the Services on behalf of a medical practice or business entity, you represent that you have the authority to bind that entity.

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate, current, and complete information and to keep your account credentials secure. You are responsible for all activity under your account.

4. Use of Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may not:

  • Use the Services to transmit any harmful, threatening, or unlawful content
  • Attempt to reverse-engineer, decompile, or disassemble any part of the platform
  • Access another user's account without authorization
  • Use the Services in any way that could damage, disable, or impair our infrastructure
  • Resell, sublicense, or redistribute the Services without prior written consent

5. Subscription & Billing

MediFlow offers subscription-based access to its platform. By selecting a plan, you authorize us to charge the applicable fees to your chosen payment method on a recurring basis.

  • Fees are billed in advance on a monthly or annual basis, depending on your selected plan
  • All fees are non-refundable except as required by law or as stated in our refund policy
  • We reserve the right to change pricing with 30 days' notice
  • Failure to pay may result in suspension or termination of your account

6. Data & Privacy

Your use of the Services is also governed by our Privacy Policy. By using the Services, you consent to the collection and use of your data as described therein.

MediFlow complies with HIPAA regulations. For customers who handle protected health information (PHI), we offer a Business Associate Agreement (BAA) on qualifying plans.

7. Intellectual Property

All content, features, and functionality of the Services — including text, graphics, logos, icons, software, and the underlying technology — are owned by MediFlow Health Technologies, Inc. and protected by intellectual property laws.

You retain ownership of any data you upload to the platform. By uploading content, you grant MediFlow a limited license to use it solely to provide the Services to you.

8. Limitation of Liability

To the maximum extent permitted by law, MediFlow and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to MediFlow in the 12 months preceding the claim.

9. Termination

We may suspend or terminate your access to the Services at any time for violations of these Terms. You may cancel your subscription at any time through your account settings. Upon termination, your right to use the Services ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.
